1. What is Covered by This Limited Warranty. Inventronics warrants to the original Buyer only that each of its Products will be free from defects in

materials and workmanship and will perform in accordance with published specifications for such Product for the period of years after each Product’s

delivery specified in the following chart (the “Warranty Period”):

This Limited Warranty only applies to Products that have been properly wired and installed; operated within the electrical values shown on the

Products’ labels; and operated in lighting equipment designed and approved for the application and in environmental conditions (temperature,

humidity and air movement) within the normal specified operating range of the Products. If Buyer discovers within the Warranty Period a failure of

the Products to conform with published specifications or a defect in materials or workmanship, it must notify Inventronics in writing within thirty (30)

days of failure at the address set forth below to obtain a Return Material Authorization and shipping instructions. The parties agree that the statute

of limitations for any cause of action for breach of this Limited Warranty is one (1) year from Buyer’s discovery of the defect or non-conformity of the

Products. If Inventronics determines that its Products are defective or non-conforming, Inventronics will, at its option, provide replacement Products

that are the same or comparable to the original Products or credit Buyer with the full purchase price thereof. Replacement Products are warranted

only for the remainder of the Warranty Period applicable to the replaced original Product and Inventronics shall not be responsible for any labor or

expenses to remove or replace Products or for shipping costs for replacement Products. THESE REMEDIES ARE BUYER’S SOLE AND

EXCLUSIVE REMEDIES FOR BREACH OF WARRANTY.

2. What is Not Covered By this Limited Warranty. This Limited

Warranty does not apply to (i) Products damaged by abuse,

accident, misuse, neglect, alteration, repair, disaster, Acts of God

(including, without limitation, fire, flood, wind and lightning), improper

installation, improper input supply, transient voltage spikes, power

surges, unauthorized attachment or improper testing, (ii) defects

caused by failure to provide a suitable installation environment for

the Products, (iii) use in violation of any particular standard, code or

instructions for use in installations, including but not limited to those

contained in the National Electrical Code, the Standards of Safety of

Underwriters Laboratory, Inc., Standards for International

Electrotechnical Commission, Standards for the American National

Standards Institute, or in Canada, the Canadian Standards

Association, (iii) Products whose failure has been caused by a

product or component not supplied by Inventronics, (iv) a defect

caused by the Buyer or a third party or any error or omission or other

fault in information, design, drawings, documents, data, software,

materials or knowhow provided or specified by Buyer, (v) Products

operated at a case temperature exceeding the “Operating Case

Temperature for Warranty” as listed on the individual Product’s data

sheet; (vi) Products with any original Inventronics’ factory labeling

that have been altered, damaged or removed by the Buyer or a third

party; or (vii) damage during shipment. Inventronics reserves and

has the right to examine failed Products to determine the cause of

failure and patterns of usage. Inventronics has no responsibility for

any Product after the expiration of its Warranty Period.

3. Compatibility. Compatibility of any dimmers or LED module/array

is the responsibility of Buyer to determine, unless Inventronics

approved controls are used. Inventronics does not warrant the

suitability of its Products for any particular application or use in any

particular equipment.

4. DISCLAIMER OF WARRANTIES. THE FOREGOING EXPRESS

WARRANTIES ARE IN LIEU OF ALL OTHER WARRANTIES,

EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE

IMPLIED WARRANTY OF MERCHANTABILITY, THE IMPLIED

WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE AND

ANY WARRANTY OF NONINFRINGEMENT OF THE

INTELLECTUAL PROPERTY RIGHTS OF THIRD PARTIES. ALL

SUCH WARRANTIES ARE HEREBY EXPRESSLY DISCLAIMED.

5. Exclusion of Damages. In no event shall Inventronics be liable for

any special, incidental, consequential or punitive damages based on

breach of warranty, breach of contract, negligence, strict liability, tort

or any other legal theory. Such excluded damages include, but are

not limited to loss of profits, loss of savings or revenue, loss of use

of the Products or any associated equipment, loss to business

reputation, cost of capital, cost of any substitute equipment, facilities

or services, downtime, and the claims of third parties, including

customers and injury to property.

6. No Other Warranties. Unless modified in a writing signed by

Inventronics, this Limited Warranty is understood to be the complete

and exclusive agreement between the parties, superseding all prior

agreements, oral or written, and all other communications between

the parties relating to the subject matter of this Limited Warranty. No

employee of Inventronics is authorized to make any warranty in

addition to those made in this Limited Warranty.

7. Allocation of Risks. This Limited Warranty allocates the risks of

failure of the Products between Inventronics and Buyer. This

allocation is recognized by both parties and is reflected in the price

of the Products. Buyer acknowledges that it has read this Limited

Warranty, understands it and agrees to be bound by its terms. This

Limited Warranty extends to the original Buyer only.
